Terms of Service

Effective October 9, 2026

These terms are the agreement between you and Clumie Services SpA ("Vinte", "we", "us") for using Vinte: the website at vinte.app and its subdomains, and the products and services we offer through them (together, the "Service"). Please read them carefully. If anything is unclear, write to us at vicente@vinte.app.

Who we are

Vinte is operated by Clumie Services SpA, a sociedad por acciones incorporated in Chile, RUT 78.319.264-0. You can reach us at vicente@vinte.app.

Accepting these terms

Browsing our public website does not, by itself, bind you to a contract with us. You accept these terms when you expressly agree to them, for example by checking the box or pressing the button that says so when you create an account, start a paid plan, or request an API key. Accepting electronically is as valid as signing on paper (Ley 19.799).

You can read, save, and print these terms on this page at any time, including before you accept them. After you accept, we send you a confirmation by email with a full copy of the terms you accepted.

If you use the Service on behalf of a company or other organization, you confirm that you are authorized to bind it, and "you" includes that organization.

Your rights as a consumer

If you use the Service as a consumer, you keep every right that consumer protection law gives you, whatever these terms say. In Chile that is Ley 19.496 on consumer protection, as amended, including by Ley 21.398. Those rights cannot be waived in advance, and any clause in these terms that conflicts with them has no effect. If you live in another country, the mandatory consumer protections of that country also apply to you where its law says so.

  • Ambiguous clauses are read in your favor, and if two clauses contradict each other, the one more favorable to you applies.
  • You can always take a dispute to the competent court. We will never require you to use arbitration or mediation. Once a dispute exists, you may choose them if you want.
  • You can file a complaint with the Servicio Nacional del Consumidor (SERNAC) at sernac.cl.
  • The objective conditions we announce in our advertising form part of your contract.

Who can use Vinte

You must be at least 18 years old and legally able to enter into a contract to create an account. Accounts are not open to the public yet. When they open, we may open them in stages or through a waitlist.

Government and public sector. Vinte is a commercial product built for individual developers and private businesses. Government bodies, public-sector agencies, and contractors acting on their behalf may not use the Service. We do not yet have the elevated security, data-residency, and handling controls that government use requires, so we do not accept it. We may add government support in select regions in the future. Until we announce it, government use is not permitted.

Companies and other organizations. Enterprises, agencies, and any organization that wants to use our models must contact us first at vicente@vinte.app. Organizations must not sign up through individual accounts. We set organizations up with a tailored service under a separate agreement. Startups may receive API credits if they meet our requirements.

The Service

The Service includes the public website and several products, some of which are still in development or not yet available: Vinte Chat; Vinte Code, a coding harness for your terminal, with Cloud Agents that work on your repositories; Aequor, Git hosting at aequor.dev; Agent, a personal assistant in iMessage; and a developer API. These terms apply to each product once it is available to you.

Some products may have additional terms, which we will show you before you start using them. If they conflict with these terms, the product terms apply to that product, but they can never reduce your rights as a consumer. Features labeled preview, beta, or experimental are early versions: they may change or be withdrawn, and may not work as well as finished features.

Your account

  • Give us accurate information and keep it up to date.
  • Keep your password, sessions, and API keys secure, and do not share them. Tell us right away at vicente@vinte.app if you think someone else is using them.
  • You are responsible for what happens under your account and API keys, except where it is caused by our fault or by unauthorized use that you reported to us promptly.

Where Vinte is available

We do not offer Vinte's models in every country. They are currently not available in the European Union and the European Economic Area, or in mainland China. This reflects the legal and regulatory requirements those markets place on AI systems, which we cannot yet fully meet. We are working to make the models available there as soon as possible.

We must also comply with the sanctions and export-control laws that apply to us or to our service providers, including those of Chile, resolutions of the United Nations Security Council, and those of the United States where they apply to us or our providers. For that reason, the Service is not available to users in Cuba, Iran, North Korea, Russia, Belarus, and the Crimea, Donetsk, and Luhansk regions, or to people and organizations named on applicable sanctions lists. This list changes when those laws change.

To confirm you are in a region where we are allowed to operate, we may check your IP address and your browser's user agent. We handle that information as our Privacy Policy describes. Where a check shows that we are not allowed to provide the Service, we may decline or end access.

Using a VPN, proxy, or any other means to disguise your location is prohibited, because it defeats these checks and can make a blocked region look like a permitted one. If we detect it, we may suspend or close your account and stop billing you, as described in "Suspension and termination".

Acceptable use

Use the Service lawfully. You agree not to:

  • Probe, scan, or test the vulnerability of the Service or any related system without our written permission.
  • Get around rate limits, usage limits, authentication, or other access controls.
  • Scrape, crawl, or repeatedly download from the Service in a way that imposes disproportionate load.
  • Use the Service to access computer systems without authorization, intercept transmissions, damage or alter data, commit computer fraud, or make or distribute tools meant for those acts. These are crimes in Chile under Ley 21.459 on cybercrime, and in many other countries.
  • Use the Service to break the law or to infringe the rights of others, including their intellectual property, privacy, and personal data.
  • Use the Vinte name or marks in a way that implies endorsement, partnership, or affiliation we have not agreed to. See the brand guidelines.

Prohibited uses

Vinte's models may not be used to plan, support, or carry out war crimes, genocide, crimes against humanity, or any attack on a civilian population. This prohibition is absolute and applies to every way you reach our models, including the API, the web app, the desktop app, and any other interface.

If a government or any other party is found using the Service for these purposes, we will close their accounts and permanently block them from Vinte. We will delete their data, except what we must keep to comply with the law or to report the conduct to the competent authorities. We do not tolerate genocide or planning against humanity.

Agents and tools that act for you

Some products can take actions for you. Vinte Code can run commands and edit files on your computer, Cloud Agents can work on your GitHub repositories, and Agent can read and act on your email and calendar. You decide what these tools can access and which actions they can take.

You are responsible for the actions you approve or allow to run automatically, and for reviewing their results, as if you had taken those actions yourself. We remain responsible for the tools working as we describe them and for our own fault. Only connect accounts, systems, and repositories you are authorized to use, and never use these tools for anything the law or these terms prohibit. When a tool connects to a third-party service such as GitHub or Google, that service's terms also apply.

Responsible disclosure

Our models are built to help you find and fix security vulnerabilities, not to weaponize them. If you discover a vulnerability with the help of our models, or in the Service itself, you must report it privately to vicente@vinte.app and allow a reasonable time for it to be fixed before acting on it or sharing any detail publicly. Accessing or testing systems you are not authorized to test can be a crime under Ley 21.459.

Exploiting such a vulnerability without disclosing it, whether against the Service, our systems, or any third party, is a serious breach of these terms. We may suspend or close your account, delete your data except what we must keep by law, and report the conduct to the competent authorities and to any affected parties.

Your content

You keep ownership of everything you submit to the Service, such as prompts, files, code, and repositories ("your content"). You give us a non-exclusive, royalty-free, worldwide license to host, store, copy, process, and transmit your content only as needed to provide, secure, and support the Service for you and to comply with the law. The license ends when your content is deleted from our systems.

Training our models. If you use an individual account, we may use your content to train and improve our models, and you give us a non-exclusive, royalty-free, worldwide license to do so. This is on by default. You can turn it off in your settings at any time; from then on, new content is not used. Team and Enterprise accounts are never used for training: the setting is off for them and we do not train on their content. See the Privacy Policy for details.

Repositories you host on Aequor remain yours. If you make a repository public, others can see it and use it under the license you choose for it.

You are responsible for having the rights to the content you submit and for making sure it is lawful. Anyone who believes content on the Service infringes their rights can write to vicente@vinte.app. We may remove content that is clearly unlawful or that breaches these terms, and we will tell you why unless the law prevents it.

AI output

Our AI systems generate answers, code, and other output automatically. Vinte Chat is in active development, and some replies today come from experimental models. Output can be inaccurate, incomplete, or fabricated, and similar output may be generated for other people. Do not rely on it for medical, legal, financial, or other important decisions without checking it, and review code before you run it.

As between you and us, you may use the output you generate as you wish, subject to these terms and to any rights others may have in it.

Our intellectual property

The Vinte name, logo, and marks, and the software, models, and model architectures behind the Service, belong to Clumie Services SpA or its licensors. These terms give you no right to them beyond using the Service as described here. The brand guidelines explain how you may and may not use our marks.

Paid plans and billing

Paid plans and API credits are not on sale yet. When they launch, this section applies, and the pricing page shows the plans, their usage limits, and their prices.

  • Price. We show the total price, including applicable taxes, before you pay. Payments are processed by Stripe, and we do not store your full card number.
  • Renewal. Subscriptions renew automatically for the same period, monthly or yearly, until you cancel. We show you the renewal date and amount before you subscribe, and you can check them in your account.
  • Cancellation. You can cancel at any time from your account or by writing to us, and it is never harder than subscribing. There is no cancellation fee, and you keep access until the end of the period you already paid for.
  • Right of withdrawal. If you are a consumer, you can withdraw from a paid plan within 10 days of buying it, without giving a reason, using the same means you used to buy it (article 3 bis, Ley 19.496). We refund what you paid, minus the part for service already provided, within 45 days at most. If this right does not apply to a specific service, we will tell you clearly before you pay.
  • Price changes. We will tell you at least 30 days before a new price applies to your plan. A new price only applies from your next renewal and only if you accept it. If you do not accept it, your plan will not renew at the new price, and you will not be charged it.
  • Refunds and remedies. Beyond the cases above, if the Service does not work as promised, you have the refunds and other remedies that consumer law gives you. Promotional and startup credits have no cash value and expire as stated when we give them.

Changes to the Service

We keep improving the Service and may add, change, or remove features. If a change materially reduces what a paid plan includes, we will tell you in advance, and you can cancel and get a refund of the unused part of your period. The Service may be temporarily unavailable for maintenance, upgrades, or causes outside our control. We do our best to be reliable, but we do not guarantee any specific uptime unless we agree to it in writing.

Suspension and termination

You can stop using the Service and close your account at any time.

We may suspend or close your account only:

  • For a serious or repeated breach of these terms.
  • For breaching the prohibited uses or responsible disclosure sections, or for disguising your location.
  • When the law, a court, or a competent authority requires it.
  • To stop a real risk to the Service, other users, or third parties.

Unless the law, the seriousness of the breach, or a security risk prevents it, we will tell you the reason first and give you a reasonable chance to fix the problem. If we close a paid account, we stop billing you and refund the unused part of any prepaid period, unless the law prohibits that payment. If we discontinue the Service or a paid product, we will tell you at least 30 days in advance and refund the unused part of any prepaid period.

Appeals

If we close your account, you have 60 days from our notice to appeal by writing to vicente@vinte.app. We will review your appeal and reply with the reasons for our decision. During those 60 days you can ask us for a copy of your content, unless the law prevents us from giving it to you. After 60 days without a successful appeal, your account data is permanently deleted, except what we must keep by law. Appealing to us is optional and does not limit your right to go to SERNAC or to court.

Warranties and disclaimers

We provide the Service with reasonable care and skill, as described in these terms and on our product pages. Beyond that, and to the extent the law allows, the Service is provided "as is" and "as available", without other warranties, express or implied, such as fitness for a particular purpose or that it will be uninterrupted or error-free. None of this limits the guarantees and rights that consumer law gives you.

Liability

Nothing in these terms limits or excludes our liability for intentional misconduct (dolo) or gross negligence (culpa grave), which Chilean law does not allow, or any other liability that cannot be limited by law. If you are a consumer, we are liable to you as consumer law provides, including your right to adequate compensation for damage, and nothing in this section reduces that.

If you use the Service for business or professional purposes, then to the extent the law allows: we are not liable for indirect damage or for lost profits, revenue, or data you could reasonably have backed up; and our total liability for all claims related to the Service is limited to the greater of what you paid us in the 12 months before the event that caused the claim, or USD 100.

We are not liable for delays or failures caused by events outside our reasonable control (caso fortuito or fuerza mayor).

Changes to these terms

We may update these terms when our products, the law, or our business change. When we do, we update the date at the top of this page. Changes never apply retroactively.

If a change reduces your rights or increases your obligations, we will tell you at least 30 days in advance, by email or in the product, and ask you to accept it. If you do not accept it, the terms you accepted keep applying until the end of your current paid period, and we will not renew a paid plan under the new terms without your acceptance. To keep using the Service after that, you will need to accept the new terms. Changes that only benefit you, or that the law requires, may apply sooner.

Transfer of these terms

We plan to move the operation of Vinte to a company of our group to be incorporated in the United States. We may transfer these terms, and our rights and obligations under them, to that company, to another affiliate, or to a successor in a merger, acquisition, or sale of the business. We will tell you at least 30 days before the transfer. A transfer will not reduce your rights under these terms or under the law, and if you do not want to continue with the new provider, you can close your account and get a refund of the unused part of any prepaid period. You may not transfer your account or these terms to someone else without our written consent.

Governing law and disputes

These terms are governed by the laws of Chile.

If you are a consumer, you can bring a claim before the juzgado de policía local of your domicile or of ours, at your choice (article 50 A, Ley 19.496), or before any other court that consumer law makes competent. No clause in these terms changes that.

If you use the Service for business or professional purposes, any dispute will be resolved by the ordinary courts of justice of the commune and city of Santiago, Chile.

Before going to court, you are welcome to write to us so we can try to solve the problem together. This is optional and never a condition for exercising your rights.

General

  • Entire agreement. These terms, our Privacy Policy, and any product terms or order you accept are the whole agreement between you and us about the Service. For consumers, the objective conditions in our advertising are also part of it.
  • Severability. If a court declares a clause void or unenforceable, the rest of these terms stay in force.
  • No waiver. If we do not enforce a clause right away, we do not give up the right to enforce it later.
  • Language. These terms are published in Spanish and English. For consumers in Chile, the Spanish version is the contract. If the two versions differ, the Spanish version prevails, and for consumers any doubt is resolved in the way most favorable to you.
  • Notices. We send notices to the email address on your account or inside the product. You can send notices to us at vicente@vinte.app.
